Terms of Service

These Terms govern your use of CleverMarketer, operated by CleverUpps CommV. By creating an account or using the Service you agree to them.

CleverMarketer is in active development. Until it is generally available, these Terms cover the website and the early-access list; the sections about accounts and billing take effect when you are given access to the application.

2. The Service

CleverMarketer is a software-as-a-service platform for planning, generating, approving, scheduling and publishing marketing content across social channels, and for measuring what that content leads to. Features will evolve; we may add, change or withdraw them.

3. Eligibility and accounts

You must be at least 18 and able to enter a binding contract.
You are responsible for the accuracy of what you provide.
You are responsible for keeping your credentials secure and for activity under your account.
One person or one legal entity per account, unless agreed otherwise in writing.

4. Subscription, fees and billing

Pricing is not yet published. When paid plans begin, they will be billed in advance in EUR, prices will include VAT where applicable, invoices will be issued under our Belgian VAT number, and renewal will be automatic until cancelled. You will be told the price before anything is charged.

5. Your content, and what we generate for you

You keep all rights in what you upload: brand information, images, copy and connected-account data.
You own the drafts the Service generates for you, to the extent such output can be owned.
We use your content only to run the Service for you. We do not use it to train models, and one workspace's content never informs another's.

6. Generated content is a draft, not advice

The Service produces drafts using language models. Those drafts can be wrong, and they can make claims that are wrong for your business even when they read convincingly. You are responsible for what is published under your name. Review before approving, particularly for regulated claims, pricing, health or legal statements, and anything about a third party. The Service is built so that nothing is published without an approval, and we recommend you keep it that way.

7. Connected accounts and advertising spend

You authorise us to act on the social and advertising accounts you connect, only as needed to run the Service.
You remain bound by each platform's own terms. If a platform suspends or restricts your account, we cannot publish there.
Advertising spend is always yours. The Service may recommend, draft and monitor campaigns, but it does not launch a campaign or increase a budget without an explicit human approval. You pay the platforms directly.

8. Acceptable use

You agree not to:

Send spam, phishing or unsolicited marketing through the Service.
Publish content that is illegal, infringing, defamatory or violates someone else's rights.
Impersonate a person or organisation you do not represent.
Reverse engineer, probe, scan or otherwise attempt to breach the Service's security.
Interfere with the Service, our infrastructure or other users.

9. Availability

We aim for a reliable Service but do not promise uninterrupted availability. We may take it down for maintenance. During early access there is no service level commitment.

10. Liability

To the extent Belgian law permits, we are not liable for indirect or consequential loss, lost profit, lost revenue or lost data, and our total liability is limited to the fees you paid in the twelve months before the claim. Nothing here limits liability for fraud, wilful misconduct, or anything that cannot be limited by law.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or end an account that breaches these Terms, and will explain why unless the law prevents us. On termination you may export your data; see the Privacy Policy for retention periods.

12. Changes to these Terms

We may update these Terms and will move the date at the top. Material changes will be sent to account holders by email before taking effect.

13. Governing law

Belgian law applies. Disputes go to the courts competent for the registered office of CleverUpps CommV, without affecting any right you have as a consumer to bring proceedings where you live.
